The following terms of use (the “Terms of Use”) apply to the use of the “Coco Movie” video messaging feature (the “Feature”), the resulting product of which shall be referred to herein as the “Video Message”. The Feature is available at the New Zealand website for the film “Coco” (the “Film”) located at Pixarcocomovie.co.nz and made available by The Walt Disney Company (New Zealand) Limited (“Disney”).
By using the Feature and creating a Video Message, you agree to the terms and conditions set out in these Terms of Use.
You must be aged 18 years or over and a resident of New Zealand to use the Feature to create a Video Message. If you are aged under 18 years you must seek parental permission before using the Feature to create a Video Message.
Any Video Message created by you:
a) must not include any personal or private information about you or any other person. (e.g. email addresses, telephone numbers, full names, dates of birth, employer details);
b) must not have any words or text in the background of your Video Message;
c) must be recorded in a video format supported by the Webpage, such as MP4 or MOV, with the file size not to exceed 1.75 GB;
d) must not include any activity that is abusive, harassing, insulting, lewd or threatening behaviour or that could be deemed to be bigoted, hateful, pornographic, racially offensive or vulgar or that may constitute any form of bullying or harassment;
e) must not depict, incite or encourage any public disobedience, any illegal acts or any dangerous activities;
f) must not contain any actions unsuitable for the audience of the Film;
g) must not contain photographs, videos or any other images or recordings (whether in the foreground or background) of any person or anything/anyone famous or recognizable (e.g. celebrities, trademarks and logos, merchandise, branded toys, popular personalities or characters (live or animated));
h) must not include any naked or partially naked persons, and any children featured must be fully clothed;
i) must not contain any profane language or imagery;
j) must not contain any logos on clothing or in the background/foreground of the image; and
k) must not include any music.
You agree that the Feature will be used on an as-is basis, and you will not manipulate, hack or reverse engineer the Feature for use other than the purpose for which it is intended.
Posting the Video Message to a social media site must be by way of a valid account on the relevant social media platform, and must be in accordance with the terms of use applicable to that social media platform. Neither the Feature nor use thereof is in any way sponsored, endorsed or administered by, or associated with, Facebook, Instagram, Snapchat or any other social media platform. Any questions, comments or complaints about the Feature must be directed to Disney and not to Facebook.
All Video Messages will be pre-moderated and any Video Message that fails to meet the criteria set out above or as otherwise instructed by Disney to you will be rejected and will not be available to you for delivery (by email, posting on social media or otherwise). Disney reserves the right to moderate all uses of the Feature, and any Video Message that fails to meet the criteria set out above or as otherwise instructed by Disney to you may be rejected and Disney may request that you to remove the Feature and may restrict your access to the Feature.
You hereby grant to Disney an irrevocable, perpetual, worldwide, royalty-free all-media license to copy, reproduce, broadcast, transmit, communicate, perform, exhibit, distribute, and otherwise use the Video Message by way of any media, including displaying the Video Message on Disney’s social media channels and websites, and using the Video Message in connection with any other campaigns connected with the Film, including but not limited to broadcasting the Video Message in cinemas.
You acknowledge Disney shall have the right, without payment, to use and exploit the Video Message and any part of it in any way on Disney’s social media channels and websites and in all other forms in connection with the Film. You agree to do all things necessary (which may include signing documents) that may be required to transfer these rights to Disney.
To the extent permitted by law, you consent to Disney (and its licensees, contractors, assignees and successors and their licensees) and any other person authorised by any of them, anywhere in the world: (a) using, disclosing, copying, producing, amending, publishing, performing, exhibiting, communicating or transmitting any of the Video Message or any adaptation of the Video Message, or engaging in any other act or omission in relation to the Video Message as Disney deems fit; and (b) performing any of the aforementioned acts without identifying you.
You warrant that (i) you have the full power, capacity and authority to enter into this Agreement and grant the rights herein granted and that the terms of the Agreement do not in any way conflict with any existing commitments you may have; (ii) the Video Message and all material contained in the Video Message is original to you and does not contain any third party material; (iii) you have obtained all necessary clearances and permissions from all persons appearing in the Video Message; and (iv) neither Disney’s use of the Video Message, if any, nor anything contained in the Video Message is defamatory or infringes upon the rights (including privacy rights) of any third parties.
You agree to indemnify and at all times keep Disney, any of its affiliated companies, and any of their respective directors, officers, agents, employees, contractors, or representatives (the “Entities”) fully and effectually indemnified from and against all actions, proceedings, costs (including reasonable legal costs), claims, damages and losses whatsoever suffered or incurred by the Entities as a result of any breach or non-performance of this Agreement by you or any of your warranties or undertakings hereunder.
Disney may assign and/or license the benefit of any license granted by you under these Terms of Use (wholly or in part) without your consent. These Terms of Use and the rights granted hereunder are and shall be non-assignable by you or by operation of law, and you shall not assign, mortgage or otherwise encumber the same.
Disney may collect your personal information for the purpose of the licence granted hereunder, and to contact you in relation to your Video Message. Disney may disclose the personal information to service providers and other members of The Walt Disney Group (including overseas) in a manner consistent with the applicable privacy legislation and its current privacy policy, available at http://www.disney.com.au/policy.html.
To the fullest extent permitted by law, you agree to release the Entities from liability for any loss or damage that you may suffer in connection with your use of the Feature, including (without limitation) if the Feature is modified in any way.
These terms of use are governed by and construed in accordance with the laws of New Zealand.
It is important that you read and understand these Terms and Conditions, particularly paragraphs about Disney's legal responsibility to you such as paragraph 7. If you do not understand these Terms and Conditions, you should seek help to understand them.
a) To be eligible to enter the “Disney Pixar’s Coco – ‘ We Are Family’ Competition” (the “Competition”), you must be a resident of New Zealand.
b) To enter the Competition, entrants (“entrant”, “you”) must:
i. Visit www.Pixarcocomovie.co.nz (the “Website”) during the Competition Period;
ii. Record a video message (up to thirty (30) seconds in duration) in accordance with the Website’s terms of use for recording video messages (“Video Terms”);
iii. Follow the prompts to fill out the submission form; and
iv. If the entrant wishes to enter the daily prize draw, share the video message via email or Facebook,
(the “Entry”).
c) Entry is open from Friday 24 November 2017 at 12:01AM NZT and closes at Tuesday 5 December 2017 at 11:59PM NZT (the “Competition Period”).
d) During the Competition Period, there will be a daily prize draw (each a “Daily Prize Draw”) and a major prize component (“Major Prize”).
e) The Major Prize will be decided at 12:00PM NZT on Wednesday 6 December 2017 at Dentsu Aegis Network, 68 Sale Street, Victoria Quarter, Auckland Central, 1010, Auckland, New Zealand (the “Selection Date”).
f) Each Daily Prize Draw will open at 12:01AM NZT and close at 11:59PM NZT on that same day (“Daily Entry Period”). Entry for that day’s prize (“Daily Prize”) can only be made during that day’s Daily Entry Period, and entrants will only be eligible to win the Daily Prize for the Daily Entry Period in which their entry was submitted. The Daily Prize Draw will be drawn on the following dates and times (each also being a Selection Date):

g) Entrants may enter the Competition once per Daily Entry Period, and each entrant is eligible to win one (1) Daily Prize only during the Competition Period. Notwithstanding the foregoing, all entries received during the Competition Period shall be eligible to win the Major Prize (ie. if an Entrant wins a Daily Prize, they will continue to be eligible to win the Major Prize).
h) Entry into the Competition is free (except for any normal internet or mobile connection charges that may apply).
a) The promoter of this Competition is The Walt Disney Company (New Zealand) Ltd ("Disney") of Regis Plaza, AIG Building, and 41 Shortland Street, Auckland 1010. Disney may contract the services of MKTG, of Dentsu Aegis Network, 68 Sale Street, Victoria Quarter, Auckland Central, 1010, Auckland, New Zealand, or such other agency as Disney may determine in its discretion (the “Agency”) to administer certain parts of this Competition.
b) All prize draws will take place at the offices of the Agency.
a) To be eligible to enter the Competition:
i. you must be a permanent resident of New Zealand;
ii. if you are younger than eighteen (18) years old, your parent or guardian (over the age of 18) will need to agree to these Terms and Conditions (we may contact this person to confirm their agreement); and
iii. neither you nor anyone in your immediate family may be an employee of Disney, Pixar or any of their respective affiliate, subsidiary or parent companies, or otherwise affiliated with Disney or Pixar or connected to the Competition in any way.
b) Disney may disqualify you if:
i. you or your Entry do not meet any one or more of the requirements set out in these Terms and Conditions;
ii. your Entry includes any objectionable material or infringes the rights (including intellectual property rights) of any third party;
iii. your Entry does not comply with the Video Terms; or
iv. you tamper in any way with the operation of the Competition.
c) Your Entry must be complete, in English and legible.
d) If for any reason this Competition is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorised intervention, fraud, technical failures, unforeseen legal or commercial circumstances or any other causes beyond the control of Disney which corrupt or affect the administration security, fairness, integrity, or proper conduct of this Competition, Disney reserves the right in its sole discretion, to cancel, terminate, modify, delay or suspend the Competition.
a) The Competition in respect of the Daily Prize Draw is a game of chance. Skill plays no part in determining the winners. The first three (3) eligible entries drawn will win the corresponding prize.
b) The Competition in respect of the Major Prize is a game of skill. Chance plays no part in determining the winner of the Major Prize.
c) Disney will appoint judges for the Competition (the “Judges”), including for judging of the Major Prize.
d) The winner selection will take place on the Selection Dates at the location mentioned in Clause 1(e) and 1(f), where forty two (42) daily winners will be drawn and one (1) major prize winner shall be selected (each a “Winner”).
e) The one (1) major prize winner shall be selected from the pool of all entries received throughout the Competition Period. Each Entry will be judged on creativity and innovativeness that best captures the spirit of family. The Judges’ decisions are final and no correspondence will be entered into.
f) The Winners will be notified by phone or email within seventy two (72) hours of each relevant Selection Date. All reasonable attempts will be made to contact the Winners.
g) All Prizes must be claimed by 1:00PM NZT on Thursday 7 December 2017. If for whatever reason any Prize is not claimed by this date, an unclaimed prize selection will be carried out on Friday 8 December 2017 at 12:00PM NZT.
h) If any proposed selection date falls on a public holiday in New Zealand, that selection will be conducted on the following business day.
i) If any person first chosen as a Winner is found to be ineligible, they will be disqualified and another entrant will be selected as replacement Winner.
a) There will be one (1) major prize (the “Major Prize”) to be won during the course of the Competition that will consist of:
• One (1) private screening of Disney Pixar’s “Coco” for up to ten (10) people at the Winner’s nearest cinema* on Saturday 16 December 2017, valued at a maximum of NZ$3,000.00;
• A catered lunch at a location to be determined by Disney for up to ten (10) people, valued at a maximum of NZ$2,000.00; and
• Transport between the screening and the restaurant for up to ten (10) people, valued at a maximum of NZ$590.00,
*Disney will take into account the Winner’s location and will select the cinema for the private screening.
The Major Prize is valued at a maximum of NZ$5,590 (inclusive of GST).
b) There will be forty two (42) daily prizes (each a “Daily Prize”) to be won each day during the Competition Period as follows:
• The Daily Prize will be drawn each weekday during the Competition Period from those entrants who have entered the competition in that day’s Daily Entry Period; and
• Each Daily Prize Winner will win:
o one (1) admit four (4) in-season movie pass to Disney Pixar’s “Coco”, valued at a maximum of NZ$80.00; and
o one (1) Disney Pixar ‘Coco’ merchandise pack, valued at a maximum of NZ$25
The total Daily Prize pool is valued at a maximum of NZ$4,410.00.
c) The total Competition prize pool is valued at a maximum of NZ$10,000.
The Prize values are based upon the recommended retail prices (inclusive of GST). Disney does not accept any responsibility for a change in Prize value.
d) If you are a Winner of the Major Prize:
i. You and those travelling with you (your “Guests”) must, at the very least, be able and willing to attend a private screening of Disney Pixar’s “Coco” and catered lunch on Saturday 16 December 2017.
ii. You and your Guests acknowledge that participation in and attendance at any event may be subject to additional terms and conditions imposed by third parties. Disney does not accept any responsibility and is not liable for additional conditions imposed at any event or for the breach of those conditions by any person.
iii. Except as set out above and unless and to the extent otherwise specified, you are responsible for all expenses connected to your participation in the Prize, including without limitation meals, drinks, transfers, laundry charges, activities, incidentals, taxes, energy surcharges, gratuities, services charges, passports, visas and all other ancillary costs.
e) If you are a Winner:
i. You may not transfer the Prize to anyone or ask for any alternative Prize (including cash).
ii. Disney may replace the Prize with another prize of equal value in the unlikely event that the Prize becomes unavailable.
iii. If you are not able to take the Prize as stated, you will forfeit the Prize and no payment or compensation will be made in lieu.
iv. Once the Prize has left the premises of Disney, responsibility for any damage, delay or loss to the Prize during transit will pass to you.
v. Disney may ask you or your parent/legal guardian to provide proof of your age, identity and residency, and to sign any required documentation including release forms as a condition of claiming the Prize.
vi. You or your parent/legal guardian are responsible for all expenses and taxes connected to your participation in the Competition and not included in the Prize.
vii. At least one parent, or legal guardian over the age of eighteen (18) must accompany you at all times throughout the conduct of the Prize if you are not over the age of 18.
viii. If requested by Disney, the Winner may be required and must agree to be filmed during the presentation of the Prize. The Winner hereby grants to Disney the right to issue, and authorise others to issue, publicity concerning the Winner, and the right to use Winner’s name (including any professional name or sobriquet adopted by Winner), likeness and biographical data in connection with the promotion of the Competition.
ix. Disney accepts no responsibility for any variation in the value or make-up of the Prize or any event that occurs that is beyond Disney’s reasonable control. The Winner also acknowledges that participation in and attendance at any event may be subject to additional terms and conditions imposed by third parties. Disney does not accept any responsibility and is not liable for additional conditions imposed at any event or for the breach of those conditions by any person.
x. Disney is not responsible for selecting the Winner’s companion or determining any other details of the Prize, or taking direction that relates to legal determinations concerning the Winner’s companion. These are the responsibility of the Winner.
a) Disney will own each Entry and will not return the entrant’s Entry at the end of the Competition. The entrant may keep a copy of the Entry for archiving purposes.
b) The entrant agrees that all of the rights (including intellectual property rights) in their Entry, including any copyright works in their Entry, belong to Disney and you hereby assign any rights they may have to Disney. This includes all copyright (present or future), other intellectual property rights and rights of ownership. The entrant grants a perpetual worldwide license (including a right to sub-license) to Disney of all rights in their Entry pending completion of this assignment.
c) The entrant agrees to do all things necessary (which may include signing documents) to transfer these rights to Disney.
d) The entrant consents to Disney doing or omitting to do anything that infringes their moral rights in their Entry. Moral rights are the entrant’s inherent rights in their Entry as the author and/or performer in the Entry and comprise the rights:
i. to be attributed as the author of the Entry;
ii. not to have authorship of the Entry falsely attributed; and
iii. of integrity of authorship and/or performance.
a) To the fullest extent permitted by law, neither Disney or any of its affiliated companies, nor any of their respective directors, officers, agents, employees, contractors, or representatives (altogether the “Entities”) are liable, and you release each of the Entities from liability, for any loss or damage that you may suffer in connection with your participation in the Competition, including (without limitation) if:
i. the Competition is cancelled, modified, suspended or delayed, including under paragraph 3d); or
ii. Disney does not receive your Entry within the Competition Period for any reason.
b) Certain laws (including the Consumer Guarantee Act 1993) in New Zealand may imply certain conditions, warranties and undertakings, and give you other legal rights. If they apply, they cannot be modified or excluded by any contract. You may consider seeking legal advice as to whether they apply to you.
c) Nothing in these Terms and Conditions generally affects your rights under New Zealand consumer law or any other commonwealth, state or territory laws, regarding consumer guarantees to the extent that such consumer guarantees cannot be excluded by law. Other than these consumer guarantees, and subject to paragraph iiib), Disney makes no warranties about any prizes offered as a part of the Competition, including warranties as to the quality, merchantability or fitness for purpose of such prizes.
d) You agree to indemnify the Entities against all liabilities suffered or sustained by any of the Entities arising from any claim that your Entry infringes the rights (including intellectual property rights) of any third party.
e) All entrants unconditionally and irrevocably release and discharge Facebook and Instagram from any and all liability in relation to this Competition.
The entrant represents and warrants that they have all of the rights necessary to effect the transfer of rights to Disney under paragraph 6.
a) Disney will collect your personal information (such as your name and biographical data) as part of the Competition and may use this information anywhere in the world for the purposes of administering the Competition, and other purposes for which we obtain your express consent. Where you have expressly consented, your personal information may be provided to Disney affiliates, including overseas affiliates for future promotional, marketing and publicity purposes without notice and without any fee being paid unless otherwise advised by you.
b) Disney will comply with its privacy policy in the collection and use of your personal information. Disney's privacy policy is available at http://www.disney.com.au/policy.html.
a) Unless expressly stated in these Terms and Conditions, your participation in the Competition does not entitle you to use any of Disney's intellectual property rights (including any Disney trade mark or copyright) for any purpose.
b) You may not disclose your Entry to anyone other than Disney. You may only use your Entry to participate in the Competition. You may keep any copy of your Entry for your personal records.
These Terms and Conditions are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of courts exercising jurisdiction there, and waive any right to claim that those courts are an inconvenient forum.
Any provision (or part thereof) of these Terms and Conditions that is prohibited or unenforceable in any jurisdiction is ineffective as to that jurisdiction to the extent of the prohibition or unenforceability. That does not invalidate the remaining provisions (or parts thereof) of these Terms and Conditions nor affect the validity or enforceability of that provision (or part thereof) in any other jurisdiction.
These Terms and Conditions contain the entire agreement between you and Disney with respect to the Competition. They set out the only conduct that you have relied on and supersede all earlier conduct and prior agreements and understandings between you and Disney in connection with the Competition.
